Terms of Service
The agreement between you and Vontos

1. Acceptance of Terms
By accessing or using Vontos ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
2. Description of Service
Vontos provides a competency-based education management platform that enables institutions to define learning outcomes, collect evidence of learning, assess student mastery, and generate credentials. The Service includes web-based applications, APIs, and related documentation.
3. User Accounts
You must create an account to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate and complete information when creating your account and to update this information as needed.
4. Institutional Responsibilities
Institutions using Vontos are responsible for: obtaining necessary consents from students and staff; ensuring compliance with applicable education laws (including FERPA); managing user access and permissions; maintaining appropriate data retention policies; and properly configuring privacy settings for their institution.
5. Acceptable Use
You agree not to: use the Service for any unlawful purpose; upload or transmit harmful code or malicious content; attempt to gain unauthorized access to the Service or its systems; interfere with or disrupt the Service; share account credentials or allow unauthorized users to access the Service; or use the Service in any manner that could damage or overburden our infrastructure.
6. Intellectual Property
Vontos and its licensors retain all rights, title, and interest in the Service, including all intellectual property rights. You retain ownership of any content you create using the Service. By using the Service, you grant Vontos a limited license to host, store, and display your content as necessary to provide the Service.
7. Data Ownership and Privacy
Institutions retain ownership of all student data and institutional content uploaded to the Service. Vontos processes this data as a service provider on behalf of the institution. Our handling of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
8. Payment Terms
Paid subscriptions are billed in advance on a monthly or annual basis. Fees are non-refundable except as required by law or as expressly stated in your subscription agreement. We reserve the right to modify pricing with 30 days notice. Enterprise agreements may have different terms as specified in the applicable order form.
9. Service Availability
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may temporarily suspend the Service for maintenance, updates, or security reasons. We will provide reasonable notice of planned maintenance when possible.
10. Limitation of Liability
To the maximum extent permitted by law, Vontos shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, revenue, or profits. Our total liability for any claims arising from these Terms or your use of the Service shall not exceed the amounts paid by you in the twelve months preceding the claim.
11. Indemnification
You agree to indemnify and hold harmless Vontos, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from: your use of the Service; your violation of these Terms; your violation of any third-party rights; or any content you upload to the Service.
12. Termination
Either party may terminate these Terms at any time. Upon termination, your right to use the Service will cease immediately. You may request export of your data within 30 days of termination. Provisions that by their nature should survive termination shall continue in effect.
13. Changes to Terms
We may modify these Terms at any time. We will provide notice of material changes via email or through the Service. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.
14. Governing Law
These Terms shall be governed by the laws of the State of California, without regard to its conflict of laws provisions. Any disputes arising from these Terms shall be resolved in the state or federal courts located in San Francisco, California.
